Alumni Association Bylaws

ARTICLE 1
Introduction
Section 1.1: The name of this corporation is Bandys High Band Alumni Association (hereinafter, the “BHBAA”).
Section 1.2: The registered location and mailing address of the BHBAA is 715 W C Street, Attn: Bandys High Band Alumni Association, Newton NC 29658.
Section 1.3: The purpose of the BHBAA shall be to promote the interests of the Bandys High School Band in all areas of academic, cultural, and social needs; to strengthen the BHBAA through a strong network of graduates; and to increase alumni awareness and provide planning, logistics, technical, and business support of the current needs.
Section 1.4: The BHBAA shall perform any and all lawful activities which may be useful in accomplishing the foregoing purposes, either alone or in conjunction with other organizations provided, however that all the aforesaid activities shall be limited to the scope and intent of SECTION 501(C)(3) of the Internal Revenue Code as it now exists or as it may hereafter be amended.
Section 1.5: The BHBAA does not discriminate on the basis of race, color, national origin, sex, sexual orientation, marital status, age, religious creed, disability, or veterans’ status. Nor does the Association allow any forms of sexual harassment.
ARTICLE 2
Membership
Section 2.1: Any person graduating from Bandys High School, and participated in the organization(s) known as Marching Band, Concert Band, Symphonic Band, Jazz Band, Winter Guard, Percussion Ensemble, or the "Trojan Thunder'' Pep Band for at least one semester, shall be a member of the Association. All non-graduates who have attended Bandys High School for at least one semester and took any band class during that time may become members of the BHBAA upon request.
Section 2.2: In order to be an active member of our organization’s Board of Directors, a person must be an active participant in and show full support of our mission, as well as be in good standing with the organization. Officials must be elected by the current board members in a majority vote.
Section 2.3: Membership may be suspended upon motion by the President and approved by two-thirds of the Board members.
Section 2.4: Volunteers are necessary for every band event (e.g., football games, competitions, parades, social events and fundraising events). Each BHBAA member is expected to make an honest attempt to support the current band and the BHBAA in these events.
Section 2.5: Meetings
Section 2.5.1: The BHBAA shall hold two meetings each year. The primary purpose of these meetings is to plan BHBAA events, discuss financial allocations, and fill any open board positions.
Section 2.5.2: Additional meetings of the BHBAA may be held as determined by the Board of Directors.
Section 2.5.3: Notice of the time and place of all meetings shall be by the BHBAA website and any other active social media.
Section 2.5.4: A quorum for the transaction of business at any meeting shall consist of a majority of members present at that meeting.

ARTICLE 3
Board of Directors
Section 3.1: The affairs of this corporation shall be managed, and its corporate powers exercised by its Board of Directors (hereinafter, the “Board”). The voting members of the Board shall elect the following officers to direct the general activities of the organization.

Section 3.2: The current Band Director of Bandys High School shall be a permanent, non-voting member of the Board.
Section 3.3: The Board shall have full authority to manage the BHBAA within the confines of these by-laws.
Section 3.4: Duties of Directors
Section 3.4.1: President

Preside at all BHBAA meetings

Prepare meeting agendas

Signs or approves all contracts on behalf of the organization

Create Itineraries for and host BHBAA events/oversees Keynote Speakers
-
Handles all finances and monies in conjunction with the Treasurer

Maintains active updates of BHBAA website and social media sites

Maintains accurate and up-to-date member roster

Perform duties as indicated to the office
Section 3.4.2: Vice President
-
Preside at BHBAA meetings in the absence of the President
-
Perform other duties as indicated to the office of the President in absence of that director, or disability of the president

Investigate and recommend fundraising activities for the year

Coordinate and execute fundraising activities for the year including administering, recording and delivery of items

Handle special projects assigned by the Band President
Section 3.4.3: Secretary

Record attendance, minutes, decisions and actions at all BHBAA meetings

Distribute minutes of all meetings as well as all necessary band related information
-
Conducts formal correspondence (thank you notes, sympathy cards, etc.)

Coordinate fundraising/volunteer opportunities
-
Contact person for local businesses to participate in events

Acts as liaison with funding partners
Section 3.4.4: Treasurer

Keep accurate records of receipts and disbursements

Provide financial report for BHBAA meetings

Report delinquent payments to President & Vice President
-
Prepare required tax forms
-
Shall keep all financial records for the BHBAA for the preceding seven years

Prepare cash boxes for any events where money will be collected and change may be required
Section 3.5: Board members shall be individuals who are supportive of the purpose of the BHBAA, who are members in good standing, and are otherwise qualified in accordance with these By-Laws.


Section 3.6: Board members will receive no remuneration for their services, except for reimbursement for legitimate expenses.
Section 3.7: Vacancies
Section 3.7.1: Should a vacancy occur in the office of the President, the Vice-President shall fill that vacancy until a new election can be held.
Section 3.7.2: A vacancy occurring in any office other than President shall be filled for the remainder of the term by a person elected by a majority vote of the remaining members of the Board.
Section 3.7.3: Any Board member may be removed from office by recommendation of a three fourths (3/4) vote of the remaining Board members and sustained by a majority vote. If any officers are so removed, new officers may be elected at the same meeting.
Section 3.8: In case any person whose signature shall appear on any bond, note, or other evidence of indebtedness of the BHBAA shall cease to be an officer or hold an office different from that held at the time of signature before the delivery of such instrument, such signature shall nevertheless be valid and sufficient for all purposes the same as if he or she had remained in such office until such delivery.
ARTICLE 4
Finance
Section 4.1: The fiscal year of the corporation shall be from January 1 through December 31.
Section 4.2: The Board of Directors may authorize any officer or officers, agent or agents, to enter into any contract or execute and deliver any instrument in the name of and on behalf of the BHBAA, and such authority may be general or confined to specific instances. Notwithstanding the foregoing, however, no officer or agent shall enter into any contract obligating the BHBAA to make any expenditure in excess of five hundred dollars ($500) unless authorized by a vote of the Board of Directors at a meeting.
Section 4.3: No loans shall be contracted on behalf of the BHBAA and no evidence of indebtedness shall be issued in its name unless specifically authorized by a vote of the Board.
Section 4.4: All checks, drafts or other orders for the payment of money, issued in the name of the BHBAA, shall be signed by such officer or officers, agent or agents, and in such manner, as shall from time to time be determined by resolution of the Board of Directors.
Section 4.5: All funds of the BHBAA not otherwise employed shall be deposited from time to time to the credit of the BHBAA in such depositories as the Board of Directors may select.
ARTICLE 5
General Provisions
Section 5.1: The corporate seal of the BHBAA shall contain the name of the BHBAA and shall be in such form as approved by the Board of Directors.
Section 5.2: Amendment of bylaws. Except as otherwise provided by law, by the Articles of Incorporation or herein, these Bylaws may be amended or repealed and new Bylaws may be adopted by majority vote in the Board.
Section 5.3: The bylaws will be reviewed annually by the BHBAA Board of Directors
